PUBLIC CONTRACT (CONTRACT OFFER)

This contract is an official and public offer of the Ukrainian Institute of Applied Psychology and Psychotherapy (hereinafter the Seller or the Executor) to enter into a contract for the purchase and sale of Goods and/or the provision of Services presented on the website https://uippp.com.ua/.
This contract is public, that is, in accordance with Article 633 of the Civil Code of Ukraine, its conditions are the same for all buyers (customers) regardless of their status (individual, legal entity, individual entrepreneur) without giving preference to one buyer (customer) over another . By entering into this Agreement, the buyer (customer) fully accepts the terms and conditions of order registration, payment for goods or services, delivery of goods, return of goods, liability for fraudulent orders and all other terms of the agreement.
The Seller's (Executor's) offer regarding the sale of goods or the provision of services is considered accepted from the moment the "Send" button is pressed on the order page and the Buyer (customer) receives an electronic confirmation of the order from the Seller (executor); or from the moment of clicking the "Pay" button on the order page.

1.Definition of terms

1.1. Public offer (hereinafter - the "Offer") - a public offer of the Seller, addressed to an unspecified circle of persons, to enter into a contract with the Seller for the sale of goods or the provision of services remotely (hereinafter - the "Agreement") on the terms contained in this Offer.
1.2. The product or service is the object of the agreement between the parties, which was selected by the buyer on the Seller's website.
1.3. Seller's website at https://uippp.com.ua, created for the conclusion of sales contracts and the provision of services based on the Buyer's familiarization with the description of the Goods or Services proposed by the Seller using the Internet.
1.4. The Buyer (Customer) is an able-bodied natural person who has reached the age of 18, receives information from the Seller, sends an application for the purchase of goods or services presented on the Seller's (executor) website for purposes not related to the implementation of business activities, or a legal person or individual entrepreneur.
1.4. Seller (Executor) – Limited Liability Company "UKRAINIAN INSTITUTE OF APPLIED PSYCHOLOGY AND PSYCHOTHERAPY" (EDRPOU: 44684171)a legal entity that was created and operates in accordance with the current legislation of Ukraine, the location of which is: 03134, Kyiv, str. Akademika Korolev, building 2a, sq. 124.

2.Scope of the contract

2.1. The Seller (Executor) undertakes to transfer ownership of the Goods or provide the Service to the Buyer, and the Buyer (Customer) undertakes to pay for and accept the Goods or Services under the terms of this Agreement.
2.2. The date of conclusion of the Contract-offer (acceptance of the offer) and the moment of complete and unquestionable acceptance by the Buyer of the terms of the Contract is considered to be the date when the Buyer fills out the order form located on the website https://uippp.com.ua, provided that the Buyer (Customer) receives an order confirmation from the Seller (Executor) in electronic form; the moment of clicking the "Pay" button on the order page.

3.Order processing

3.1. The buyer (customer) places the order on the website independently https://uippp.com.ua in any way convenient for him: or by placing an order by e-mail, or by filling out a feedback form, or by calling the phone number indicated in the contact section and paying for the Product (service) yourself.
3.2. The Seller (Executor) has the right to refuse to fulfill the Buyer's (customer's) order in the event that the information provided by him during the order placement is incomplete or raises suspicions about their validity.
3.3. When placing an order on the website, the Buyer (customer) undertakes to provide the following mandatory information necessary for the Seller (Executor) to fulfill the order:
3.3.1. full name;
3.3.2. the address to which the Goods should be delivered (if delivery to the Buyer's address);
3.3.3. contact phone
3.3.4. e-mail
3.4. The name, quantity, serial number or article number, price of the Product selected by the Buyer can also be indicated in the Buyer's basket on the website.
3.5. If any of the parties to the contract needs additional information, he has the right to request it from the other party. If the Buyer (customer) does not provide the necessary information, the Seller (executor) is not responsible for providing quality service to the Buyer.
3.6. When placing an order through the manager by phone, the Buyer (customer) also undertakes to provide the information specified in Clause 3.3 of this Offer.
3.7. Features of ordering Services.
3.7.1. The Service order requires confirmation by the Contractor's manager of the ability to provide it. Independent payment by the Customer of the service through the Contractor's website is performed by the Customer at his own risk and he understands that in the event of the impossibility of providing the service, the refund may take up to 14 working days.
3.7.2. After ordering the Service, the application is sent to the Contractor's e-mail, the manager processes the application, after which the Customer pays either using the details sent by the manager to the Customer, or on the website after the manager's call.
3.7.3. The service is provided after receiving a receipt (automatically if payment is made from the site; or the Customer sends a receipt when paying using the details sent by the manager.)
3.7.4. Payment for the service can be one-time or regular, if the service is divided into stages. In this case, the Customer must pay for the next stage of the Service before receiving it and send a receipt to the Contractor.
3.8. Features of ordering Goods.
3.7.1. The order of the Product requires confirmation by the Seller's manager of its availability (with the exception of the selection of electronic versions of books, course recordings and similar Products). Independent payment by the Buyer of physically existing Goods through the Seller's website is performed by the Buyer at his own risk and he understands that in the event of the impossibility of selling the Goods, the refund may take up to 14 working days.
3.7.2. After ordering the Product, the application is sent to the Seller's e-mail, the manager processes the application, specifies the address and method of delivery, after which the Buyer pays for the Product either using the details sent by the manager to the Customer, or on the website after the manager's call.
3.7.3. The product is sent after receipt of the receipt (automatically, if payment is made from the site; or the Buyer sends a receipt when paying using the details sent by the manager.)
3.9. The buyer (customer) is responsible for the accuracy of the information provided when placing the Order.
3.10. By entering into the Agreement, i.e. by accepting the terms of this offer (the proposed terms of purchase of the Goods or Services), by placing the Order, the Buyer (customer) confirms the following:
a) he is fully and completely acquainted with and agrees with the terms of this offer (offer);
b) he gives permission for the collection, processing and transfer of personal data, the permission for the processing of personal data is valid for the entire term of the Agreement, as well as for an unlimited period after its expiration.In addition, by concluding the contract, the Buyer (customer) confirms that he has been notified (without additional notification) of the rights established by the Law of Ukraine "On the Protection of Personal Data", about the purposes of data collection, as well as that his personal data is transferred to the Seller (Executor ) for the purpose of the possibility of fulfilling the terms of this Agreement, the possibility of carrying out mutual settlements, as well as to receive invoices, acts and other documents. The Buyer also agrees that the Seller (Executor) has the right to provide access and transfer his personal data to third parties without any additional notice from the Buyer for the purpose of fulfilling the Buyer's order. 4. Price of Goods (Services) and delivery of Goods

4.1. Prices for Goods and Services are determined by the Seller independently and are indicated on the website. All prices for Goods and services are indicated on the website in hryvnias without VAT.
4.2. Prices for Goods and Services may be changed by the Seller unilaterally depending on market conditions. At the same time, the price of a separate unit of Goods or Services, the cost of which has been paid in full by the Buyer, cannot be changed by the Seller unilaterally.
4.3. The price of the Product, which is indicated on the website, does not include the cost of delivery of the Product to the Buyer. The cost of delivery of the Goods is paid by the Buyer in accordance with the current rates of delivery services (carriers) directly to the delivery service (carrier) chosen by him.
4.4. The Seller can indicate the approximate cost of delivery of the Goods to the Buyer's address when the Buyer makes a corresponding request to the Seller by sending a letter to the e-mail or when placing an order through the manager.
4.5. The Buyer's obligations to pay for the Goods are considered fulfilled from the moment the funds are received by the Seller on his account.
4.6. When receiving the goods, the Buyer must check the conformity of the Goods with the qualitative and quantitative characteristics (product name, quantity, completeness, expiration date) in the presence of the representative of the delivery service (carrier).
4.7. Receipt of the Goods by the Buyer or his representative from the delivery service (carrier) confirms that he has no complaints about the quantity of the goods, appearance and completeness of the goods. If such claims arise, the Buyer must refuse to receive the Goods.
4.8. The right of ownership and the risk of accidental loss or damage to the Goods shall be transferred to the Buyer or his Representative from the moment of receipt of the Goods by the Buyer in the city of delivery of the Goods upon independent delivery of the Goods from the Seller, or during the handover by the Seller of the goods to the delivery service (carrier) chosen by the Buyer.

5. Rights and obligations of the Parties

5.1. The seller (Executor) is obliged to:
5.1.1. Provide the Buyer with Goods or Services in accordance with the terms of this Agreement and the Buyer's (customer's) order.
5.1.2. Not to disclose any private information about the Buyer (customer) and not to provide access to this information to third parties, except for cases provided by law and during the execution of the Buyer's (customer) Order.
5.2. The seller (Executor) has the right:
5.2.1 To unilaterally change the terms of this Agreement, as well as the prices of Goods and Services, by posting them on the website. All changes take effect from the moment of their publication.
5.2.2. The executor has the right, at his discretion, to involve third parties in the performance of this contract.
5.3. The buyer (Customer) undertakes:
5.3.1 Before concluding the Agreement, familiarize yourself with the content of the Agreement, the terms of the Agreement and the prices offered by the Seller (Executor) on the website.
5.3.2 In order for the Seller (executor) to fulfill its obligations to the Buyer (customer), the latter must provide all the necessary data that uniquely identifies him and is sufficient for the Buyer (customer) to receive the ordered Goods (Services).

6. Return of the Goods

6.1. The Buyer has the right to return to the Seller a non-food product of appropriate quality, if the product does not satisfy him in terms of shape, dimensions, style, color, size or for other reasons cannot be used by him for its intended purpose. The buyer has the right to return goods of proper quality within 14 (fourteen) days, excluding the day of purchase. The return of goods of appropriate quality is carried out if it has not been used and if its appearance, consumer properties, packaging, seals, labels, as well as the settlement document issued to the Buyer for payment of the Goods have been preserved. The list of goods that are not subject to return on the grounds provided for in this paragraph is approved by the Cabinet of Ministers of Ukraine.
6.2. The return to the Buyer of the cost of goods of appropriate quality is carried out within 30 (thirty) calendar days from the moment of receipt of such Goods by the Seller, subject to compliance with the requirements stipulated in clause 6.1. Agreement, current legislation of Ukraine.
6.3. The cost of the product is subject to refund by bank transfer to the Buyer's account.
6.4. The return of the Goods of proper quality to the Seller's address is carried out at the expense of the Buyer and the Seller does not reimburse the Buyer.
6.5. In the event that defects in the Product are detected during the established warranty period, the Buyer personally, in the manner and within the time limits established by the legislation of Ukraine, has the right to present to the Seller the requirements provided for by the Law of Ukraine "On the Protection of Consumer Rights". In case of requests for free elimination of defects, the term for their elimination shall be calculated from the date of receipt of the Goods by the Seller at his disposal and physical access to such Goods.
6.6. Consideration of the requirements stipulated by the Law of Ukraine "On the Protection of Consumer Rights" is carried out by the Seller on the condition that the Buyer provides the documents stipulated by the current legislation of Ukraine. The Seller is not responsible for the defects of the Goods that arose after their transfer to the Buyer as a result of the Buyer's violation of the rules of use or storage of the Goods, actions of third parties or force majeure.
6.7. The buyer does not have the right to refuse a good quality product that has individually defined properties, if the specified product can be used exclusively by the buyer who purchased it (including, at the buyer's request, non-standard sizes, characteristics, appearance, equipment and other). The confirmation that the product has individually defined properties is the difference in product sizes and other characteristics specified in the online store.
6.8. The return of goods, in the cases provided for by law and this Agreement, is carried out at the address specified on the website in the "Contacts" section

7. Liability

7.1. The Seller is not responsible for damage caused to the Buyer or third parties as a result of improper installation, use, storage of the Goods purchased from the Seller.
7.2. The Seller is not responsible for improper, untimely fulfillment of Orders and its obligations in the event that the Buyer provides inaccurate or erroneous information.
7.3. The Seller and the Buyer are responsible for fulfilling their obligations in accordance with the current legislation of Ukraine and the provisions of this Agreement.
7.4. The Seller or the Buyer is released from responsibility for full or partial non-fulfillment of their obligations, if the non-fulfillment is the result of force majeure circumstances such as: war or hostilities, earthquake, flood, fire and other natural disasters that occurred regardless of the will of the Seller and/or The buyer after concluding this contract. A Party that cannot fulfill its obligations shall immediately notify the other Party thereof.

8. Confidentiality and protection of personal data.

8.1. By providing his personal data on the website when registering or placing an Order, the Buyer gives the Seller his voluntary consent to the processing, use (including the transfer) of his personal data, as well as taking other actions provided for by the Law of Ukraine "On the Protection of Personal Data", without limiting the term of such consent.
8.2. The Seller undertakes not to disclose the information received from the Buyer. It is not considered a violation for the Seller to provide information to counterparties and third parties acting on the basis of a contract with the Seller, including for the fulfillment of obligations to the Buyer, as well as in cases where the disclosure of such information is established by the requirements of the current legislation of Ukraine.
8.3. The buyer is responsible for keeping his personal data up-to-date. The Seller is not responsible for poor performance or non-fulfilment of its obligations due to the irrelevance of information about the Buyer or its inconsistency.

9. Other conditions

9.1. This contract is concluded on the territory of Ukraine and is valid in accordance with the current legislation of Ukraine. This Agreement is public and open-ended and is valid during the period of provision of the ordered and paid Services, but in any case until the Parties fully fulfill their obligations under the Agreement.
9.2. All disputes arising between the Buyer and the Seller shall be resolved through negotiations. In case of failure to reach a settlement of the disputed issue through negotiations, the Buyer and/or the Seller have the right to apply for a resolution of the dispute to the judicial authorities in accordance with the current legislation of Ukraine.
9.3. This Agreement may be fully or partially changed by the Seller (Executor) at any time unilaterally without any special notice. The new version of the Agreement enters into force from the moment of its publication on the Site. The buyer (customer) is considered to have been informed about the change in the terms of the contract from the moment its new version is published on the website.
9.4. The Parties are released from responsibility for non-fulfillment or improper fulfillment of obligations under this Agreement, if this non-fulfillment is the result of force majeure (force majeure) that the Parties could not foresee and could not prevent by all reasonable means and which directly affect the fulfillment of this Agreement and arose after its conclusion.
9.5. By force majeure circumstances, the Parties understand the circumstances that arose after the conclusion of this Agreement as a result of events of an extraordinary nature, namely: natural disasters (hurricanes, earthquakes, floods, fires, lightning, etc.), war, military operations, hostilities without a declaration of war , armed conflicts, uprisings, revolutions, strikes, mass riots, lockouts, acts of terrorism, coup d'etats, blockades, actions of state bodies, adoption of regulatory acts, if such circumstances led to an objective impossibility for the Party to fulfill its obligations under this Agreement . The parties agreed that accidents in the energy saving and communication system, as well as decisions and actions of state and communal bodies, organizations are also considered force majeure circumstances.
9.6. In the event of force majeure circumstances, the term of performance of obligations under this Agreement is postponed to the term of force majeure.
9.7. The occurrence of circumstances of force majeure at the time of the Party's delay in fulfilling its obligations under the Agreement deprives this Party of the right to refer to these circumstances as a basis that exempts it from responsibility under the Agreement.

10. Intellectual Property

10.1. All photos, video materials, graphic images, music, sound works, signs for goods and services contained on the site are objects of intellectual property rights. The right to use the content of the site (including the right to select, locate, systematize and transform the data contained on the site, as well as the data itself), except for the cases separately indicated in the content of the materials published on the site, belongs exclusively to the Seller (Executor).
10.2. In case of violation of the terms of this section of the Agreement, the Buyer (customer) bears the responsibility provided for by the current legislation of Ukraine.
